Operational Conditions and Corporate Compliance Limits
Welcome to Zynt Bio (“we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the website located at www.zyntbio.com, including any custom data visualization environments, and cloud-native service configurations hosted by Zynt Bio (collectively, the “Platform”).
By accessing or using our Platform, you, on behalf of yourself or the corporation or institution you represent (“Client”), agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.
Zynt Bio operates strictly as a business-to-business (B2B) computational genomics service provider. Our services and Platform are engineered exclusively for the processing of plant, microbial, fungal, and environmental metagenomic data.
A. Client Ownership & Proprietary Data: The Client retains sole and exclusive ownership of all raw data files, metadata, reference sequences, and biological matrices uploaded to the Platform (collectively, “Client Data”). Zynt Bio claims zero intellectual property rights over Client Data.
B. Zynt Bio Intellectual Property: All components comprising the Platform—including but not limited to custom pipeline wrappers, proprietary Nextflow DSL2 orchestration scripts, software container configurations, web element layout structures, and report formatting—remain the exclusive intellectual property of Zynt Bio.
C. Technical Deliverables: Upon full payment of all contractual fees, the Client receives a permanent, royalty-free, un-expirable right to use the custom data matrices, technical methodology narratives, and reports generated by Zynt Bio for their specific project cohort.
The Client agrees that it will not attempt to disrupt, reverse-engineer, decompile, or bypass the security perimeters of our AWS infrastructure or containerized pipelines. Furthermore, the Client will not upload sequence data that violates third-party intellectual property rights, international biosecurity frameworks, or material transfer agreements (MTAs).
A. Technical & Biological Variations: Bioinformatics outputs are inherently dependent on the quality, sample preparation, and accuracy of the raw input data provided by the Client. Zynt Bio makes no warranties that final analytical outcomes will yield specific biological or commercial outcomes.
B. Limitation of Liability: In no event shall Zynt Bio be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profits, corporate valuation, patent opportunities, or research timelines. Zynt Bio’s total liability shall not exceed the total fees paid by the Client to Zynt Bio for the specific service cohort in question.
These Terms, and any dispute arising from or relating to them, shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Indiana.
